Strategic Retention and Future Innovations

Under the terms of the agreement, Formula Systems (1985) Ltd., an existing shareholder, will maintain a minority stake in Sapiens. CEO Roni Al-Dor highlighted the transaction as a win-win, delivering substantial value to shareholders while fueling innovation for insurance carriers worldwide.

Closing Timeline and Financing

The acquisition, which has received unanimous approval from Sapiens' board of directors, is anticipated to finalize in late 2025 or early 2026, subject to regulatory and shareholder approvals. Advent International has already secured $1.3 billion in equity commitments to ensure the deal's completion, transitioning Sapiens into a privately held entity.
